Job Description

Corporate M&A and Commercial Real Estate Legal Assistant

Location : Downtown Pittsburgh

Salary : $50–$65K DOE

Schedule : Onsite, Monday to Friday, Full-time

Responsibilities

  • Support multiple attorneys in:
  • M&A transactions – Due diligence, drafting agreements, licensing, capital transfers, and deal execution.
  • Company formation – Licensing, capital account setup, post-licensing compliance, and entity structuring.
  • Compliance – Reporting, regulatory filings, and audit support.
  • Restructuring – Business/project suspension, dissolution, and closure of branches/offices.
  • Liaise with clients and authorities to gather documents and provide updates.
  • Conduct legal research and draft supporting documents.
  • Manage billing, file maintenance, and client communications.
  • Coordinate closings, maintain checklists, and prepare binders for commercial real estate transactions.
  • Draft and proofread legal/business documents.
  • Schedule meetings, travel, expenses, and conference logistics.
  • Notarize documents and handle administrative tasks.

Minimum Requirements

  • 2+ years of recent experience in a US law firm supporting corporate attorneys.
  • 2+ years of recent experience assisting with closing binders for commercial real estate transactions.
  • Proficient in Microsoft Office Suite; experience with NetDocs preferred.
  • Strong organizational, communication, and multitasking skills.
  • Detail-oriented with excellent proofreading ability.
  • Able to work independently and collaboratively with a positive attitude.
